Terms of Service

1. Who we are and what these terms cover

ManaraAI ("ManaraAI", "we", "us") provides an AI-native governance, risk and compliance platform (the "Platform") and operates the website at manara-ai.co (the "Site"). These terms apply to anyone who visits the Site, starts a free trial, or uses the Platform under a self-serve subscription (together, the "Services").

If your organisation has signed an order form or master agreement with us, that agreement takes precedence over these terms where the two differ.

2. Accepting these terms

By using the Services you agree to these terms. If you use the Services on behalf of an organisation, you confirm that you are authorised to accept these terms for it, and "you" means that organisation.

You must be at least 18 years old and able to enter into a binding contract to use the Platform.

3. Accounts

Accounts are created and managed in the Platform at app.manara-ai.co. You are responsible for:

• keeping your sign-in details confidential and the information in your account accurate;
• everything that happens under your account and the accounts of users you invite;
• telling us promptly at contact@manara-ai.co if you suspect unauthorised access.

4. Free trial

New organisations can try the Platform free for 3 days without a payment card. The trial includes the Professional plan's features. When the trial ends, you can choose a paid plan inside the Platform; if you do not, access ends and we may delete trial data after a reasonable period.

We may change, limit or end the trial offer at any time.

5. Plans, fees and billing

Paid plans, prices and billing periods are shown on our pricing page and in the Platform at the time you subscribe. Payment is taken in the Platform, not on the Site.

• Fees are charged in advance for each billing period and, unless stated otherwise, are exclusive of applicable taxes.
• Subscriptions renew automatically until cancelled. You can cancel at any time and access continues until the end of the paid period.
• Except where the law requires otherwise, fees already paid are not refundable.
• We may change prices for future billing periods and will give you reasonable notice before a change applies to you.

Enterprise, private cloud and air-gapped deployments are quoted separately and governed by their own agreement.

6. Acceptable use

You agree not to:

• use the Services in breach of any law or regulation, or to infringe anyone's rights;
• upload malware or content you do not have the right to share;
• attempt to access systems or data you are not authorised to access, or to probe, scan or test the Services' security without our written permission;
• reverse engineer the Platform, except where the law allows it;
• resell or sublicense the Services, or use them to build a competing product;
• interfere with the Services or place an unreasonable load on them.

We may suspend access that breaches this section, and will tell you why unless the law or a security need prevents it.

9. Our intellectual property

The Services, including the software, framework content, templates, designs and the ManaraAI name and logo, belong to ManaraAI or its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the Services during your subscription. If you send us feedback, we may use it without obligation to you.

10. Availability and changes

We work to keep the Services available and secure but do not promise that they will be uninterrupted or error-free. We may improve, change or remove features. If a change materially reduces what you pay for, we will tell you in advance.

11. Third-party services

The Services may link to or integrate with services we do not control, such as tools you connect for evidence collection. Your use of those services is governed by their own terms, and we are not responsible for them.

12. Disclaimers

Except as expressly stated in these terms, the Services are provided "as is" and "as available", and we disclaim implied warranties to the extent the law allows.

13. Limitation of liability

To the extent the law allows:

• neither party is liable for indirect or consequential loss, or for loss of profits, revenue or data;
• each party's total liability arising from these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law, including for fraud.

14. Suspension and termination

You can stop using the Services and cancel your subscription at any time. We may suspend or end your access if you materially breach these terms and do not fix the breach after notice, or immediately where needed to protect the Services or other customers.

After termination you can request an export of your Customer Data for 30 days, after which we may delete it, except where we must keep it by law.

15. Changes to these terms

We may update these terms from time to time. We will post the new version here with a new "last updated" date and, for material changes, give you notice by email or in the Platform. Continuing to use the Services after a change takes effect means you accept it.

16. Governing law

These terms are governed by the laws of the Sultanate of Oman, and the courts of the Sultanate of Oman have jurisdiction over any dispute arising from them.
